Terms and Conditions

DigimedExpo operates a digital medical expo, marketplace, procurement, advertising, events, community, newsletter, and e-magazine platform dedicated to medical devices, technologies, services, and healthcare trade intelligence.

The terms “seller,” “vendor,” “manufacturer,” “distributor,” “logistics company,” “biomedical engineer,” “advertiser,” and “exhibitor” may be used interchangeably where context permits.

“User” refers to any individual, company, or legal entity that accesses, navigates, or interacts with the marketplace.

“Client” refers to any user who subscribes to, purchases, or otherwise engages any paid services offered by DigimedExpo.

By accessing or using any part of the marketplace, you acknowledge and agree to be bound by these Terms.

If you use the marketplace on behalf of a business, you confirm that you have authority to bind that business or organization to these Terms.

You must not register or create an account for a business if you are under 18 years of age.

You may register by completing the relevant registration form available via the Register button or any other form on the marketplace.

You represent and warrant that all information provided during registration is complete and accurate.

You agree to keep your password confidential, notify us of unauthorized use, and accept responsibility for activity arising from failure to protect your password.

Your account shall be used exclusively by you. If you authorize a third party to manage your account, it is at your own risk.

We may suspend, cancel, or edit your account details at our sole discretion without prior notice.

You may cancel your account by contacting us through our contact form.

The marketplace allows vendors to exhibit products and services while buyers search, compare, request quotes, and negotiate terms.

DigimedExpo facilitates publication and promotion of vendor advertisements but is not a party to sales agreements between vendors and buyers.

A contract for sale or purchase is formed exclusively between buyer and seller upon mutual agreement.

Payments between buyers and sellers are handled directly and are not processed through DigimedExpo, except for services provided by DigimedExpo itself.

Vendors must maintain their marketplace presence by paying applicable subscription fees, promotional charges, or related costs according to official invoices.

Advertisers and vendors must make full payment before activation unless otherwise agreed in writing by DigimedExpo.

DigimedExpo may review, approve, reject, or remove advertisements or listings that violate laws, platform policies, or community guidelines.

Buyer institutions own procurement activity such as quote requests, RFQs, team members, shortlists, comparisons, and related procurement workspaces.

Registered buyer and biomedical-engineer accounts may participate in procurement through compatible institution records. Manufacturer, distributor, and logistics company accounts are seller or service-provider identities and must not use those accounts to misrepresent procurement intent.

Guest quote requests may be accepted through email verification, but continued procurement management may require registration, institution membership, or account verification.

Company, institution, biomedical profile, and event organiser invitations must be accepted only by compatible users. DigimedExpo may block invitations that would create conflicting entity ownership or misleading account identities.

Banner ads, featured expo placements, product launches, live events, webinars, newsletter campaigns, e-magazine visibility, and similar promotional services may require invoices, confirmed payment, creative upload, admin review, activation, expiry, and renewal.

Event organisers may publish approved expos, conferences, fairs, and related event materials through applicable billing and review workflows. Other users may recommend events for admin review where supported.

DigimedExpo may reject, edit, suspend, or remove paid or unpaid promotional content that is misleading, unsafe, non-compliant, unsuitable, or inconsistent with platform quality standards.

Paid visibility may improve exposure, but DigimedExpo does not guarantee enquiries, meetings, sales, rankings, procurement outcomes, or attendance.

Community posts, answers, mentions, comments, conversations, contact messages, tickets, and realtime communications must remain professional, lawful, truthful, and relevant to healthcare trade.

AI-assisted features may support drafting, summaries, discovery, and marketplace guidance, but they do not provide medical diagnosis, clinical advice, legal advice, supplier selection, pricing decisions, or guaranteed outcomes.

Users are responsible for reviewing AI-assisted, community, event, advertising, and listing content before publication or reliance.

All DigimedExpo services, including subscriptions, renewals, promotions, and chargeable offerings, are strictly prepaid unless expressly agreed otherwise in writing.

No service shall be activated, renewed, or delivered until corresponding payment has been received and confirmed.

Issued invoices are binding. Non-payment may result in suspension, withholding, or termination of requested services without further notice.

Unless expressly stated otherwise in writing, all payments made to DigimedExpo are non-refundable, including subscription cancellations, unused services, or early client termination.

“Your content” includes all text, graphics, images, audio, video, scripts, software, documents, files, listings, advertisements, reviews, inquiries, feedback, and comments submitted or transmitted through the marketplace.

Your content must be accurate, complete, lawful, and truthful at all times.

Your content must not be offensive, obscene, deceptive, fraudulent, defamatory, harassing, threatening, abusive, inflammatory, misleading, spam-like, or otherwise inappropriate.

Your content must not infringe intellectual property rights, privacy rights, confidentiality, contractual obligations, court orders, or legal restrictions.

You must not link to or reference third-party content that would violate these Terms if published directly on the marketplace.

You must not submit material that is or has been the subject of threatened or actual legal proceedings.

All users are solely responsible for interactions with other users and must not share sensitive information such as passwords, credit card details, or banking credentials.

We reserve the right to review, moderate, edit, or remove content that violates these Terms or is otherwise objectionable.

If you become aware of unlawful material or activity, report it through our contact form.

By submitting content, you grant DigimedExpo a worldwide, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, store, adapt, publish, translate, display, and distribute that content.

You grant us the right to sublicense the rights granted under these Terms.

You grant us the right to bring legal action for infringement of the rights granted.

You waive, to the fullest extent permitted by law, any moral rights you may have in your content.

We may edit, restrict, unpublish, or remove content that violates these Terms or is deemed inappropriate.

You may access and use the marketplace solely for lawful purposes related to advertising, exhibiting, sourcing, or purchasing products and services.

You must not reproduce, duplicate, distribute, sell, license, or exploit platform material without prior written consent.

We may temporarily suspend or restrict platform access for maintenance, upgrades, or security reasons without prior notice.

You must not engage in hacking, scraping, data mining, phishing, spamming, or introducing malicious code into the marketplace.

We and our licensors own and control all copyright and intellectual property rights on the marketplace and its materials.

DigimedExpo's name, logos, and trademarks belong exclusively to us and may not be used without prior written consent.

Third-party trademarks displayed on the marketplace belong to their respective owners and do not imply endorsement, affiliation, or license.

All users acknowledge and consent to the collection, processing, storage, and use of personal data in accordance with DigimedExpo's Privacy and Cookie Policy.

DigimedExpo processes personal data obtained through the marketplace in compliance with applicable data protection laws and our Privacy and Cookie Policy.

Sellers, advertisers, and service providers are solely responsible for misuse of buyers’ personal data. DigimedExpo shall not be liable for privacy breaches committed by third-party users.

We operate a fraud-free marketplace and reserve the right to perform due diligence checks on all users.

You agree to provide information, documentation, or access reasonably required to verify compliance with these Terms.

You agree to provide information required by a valid court order, governmental authority, applicable law, or regulation.

We only verify and confirm the identity of vendors on our marketplace.

We do not check, audit, or monitor all information contained in listings.

We are not party to contracts for sale or purchase of products and services advertised on the marketplace.

We are not agents for any visitor or seller and are not responsible for enforcing contractual obligations between marketplace users.

We do not warrant the completeness, accuracy, or currency of marketplace information, or that the marketplace will remain available.

We reserve the right to discontinue, alter, or stop publishing marketplace services at any time in our sole discretion.

We do not guarantee any commercial results from use of the marketplace.

Nothing in these Terms limits liabilities in a way not permitted under applicable law or excludes statutory rights that may not be excluded.

For services offered free of charge, we will not be liable for loss or damage of any nature.

Our aggregate liability under any paid service contract shall not exceed the total amount paid and payable to us under that contract.

We are not liable for interruption or dysfunction of the website, events beyond reasonable control, business losses, data loss, regulatory action, or special, indirect, or consequential loss.

You agree not to bring personal claims against our officers or employees in respect of losses connected with the marketplace or these Terms.

External hyperlinks are not recommendations. We have no control over third-party websites and accept no responsibility for their content or any loss arising from their use.

You indemnify DigimedExpo against losses, damages, costs, liabilities, and expenses arising directly or indirectly from your use of the marketplace or breach of these Terms, codes, policies, or guidelines.

If we permit registration of a buyer account, it remains open indefinitely subject to these Terms.

If you breach or are suspected of breaching these Terms, we may suspend or prohibit access, block IP addresses, contact service providers, suspend or delete accounts, or commence legal action.

Where access is suspended, prohibited, or blocked, you must not attempt to circumvent such restriction, including by creating or using a different account.

These Terms, the Privacy Policy, and the Guidelines on Listing constitute the entire agreement between you and DigimedExpo in relation to marketplace use.

If these Terms, the Privacy Policy, and the Guidelines on Listing conflict, they shall prevail in that order.

We may revise these Terms, the Privacy Policy, and the Guidelines on Listing from time to time.

Revised Terms apply from the date of publication on the marketplace.

If any provision is unlawful or unenforceable, the remaining provisions continue in effect.

We may assign, transfer, subcontract, or otherwise deal with our rights and obligations under these Terms.

You may not assign or transfer your rights or obligations without prior written consent.

These Terms are for our benefit and your benefit and are not intended to benefit or be enforceable by any third party except the judiciary or competent authority.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya.

Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Kenya.

The marketplace is operated by Kencare Medical Systems Limited under the business name Digimed Expo.

Kencare Medical Systems Limited is a private limited company incorporated in the Republic of Kenya, with headquarters situated in Nairobi, Kenya.
